Terms of Service

These Terms of Service ("Terms") govern your access to and use of MXR ("the Service"), operated by Pull LLC ("we", "us", or "our"). The Service includes the MXR web application, a browser-based AI-powered visual sequencer and live performance tool, as well as MX 3D, MX PRO, and MX XR, desktop applications built on Unreal Engine 5 for real-time 3D visual effects. By creating an account, purchasing a licence, or otherwise using the Service you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

2. Account Registration

You may register using an email address and password or via a supported third-party OAuth provider (Google). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

3. Products and Services Overview

The Service is made up of two product families with different pricing models:

References to "the Service" elsewhere in these Terms apply to both the Web App and the Desktop Software except where a section expressly limits itself to one or the other.

4. MXR Web App — Service Tiers and Billing

The Web App is offered on the following tiers:

All payments are processed by Stripe. By completing a purchase you also agree to Stripe's terms of service. Prices are stated in USD and are subject to change with reasonable notice.

4a. Subscription Pausing

You may pause your subscription at any time from the Account panel. When paused, billing stops immediately, your token balance is preserved, and you may resume at any time. Pausing does not cancel your subscription or affect your token pack balance.

To protect subscribers from accumulating unwanted charges, we automatically pause paid subscriptions that have been inactive for 90 consecutive days. "Inactive" means no AI generation tokens were consumed during that period. At 60 days of inactivity we will send a reminder email before the automatic pause occurs.

5. MX 3D, MX PRO & MX XR — Desktop Software Licensing and Pre-Orders

MX 3D, MX PRO, and MX XR are downloaded and installed on hardware you own or control. The Desktop Software is licensed to you, not sold, and remains the property of Pull LLC and its licensors. Current tier feature comparisons are published at mxr-labs.com/mx3d and may change as the Desktop Software evolves.

5a. License Grant

Subject to your compliance with these Terms and payment of the applicable fee, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use one copy of the Desktop Software per purchased licence, on hardware you own or control, solely for your own creative, commercial, or live-performance productions. This licence does not include the right to sublicense, resell, rent, lease, or distribute the Desktop Software or any Unreal Engine 5 components contained within it.

5b. System Requirements

The Desktop Software requires Windows 10 or later and a compatible NVIDIA GPU (RTX 2080 or higher recommended). Real-time generative AI features run on-device and their output resolution scales with your GPU tier. We do not guarantee compatibility with every hardware configuration, and requirements may change between releases.

5c. Pre-Orders and Founders Edition

We may offer the Desktop Software for pre-order ahead of general release, including limited-time "Founders Edition" pricing. Pre-order payments are processed by Stripe and reserve your licence at the pre-order price; they do not guarantee a specific release date, and estimated timelines are provided for convenience only and are subject to change. If your pre-order has not been delivered (made available for download) within 12 months of purchase, you may request a full refund by emailing [email protected]. Once your pre-order has been delivered, the refund terms in Section 5e apply.

5d. Updates and Version Support

Your licence entitles you to all minor and patch updates released within the same major version (for example, all v1.x releases) at no additional cost. We may offer future major versions (for example, v2.0) as a separate paid upgrade. We may discontinue support for older operating systems or hardware over time as the Desktop Software evolves.

5e. Desktop Software Refunds

Because the Desktop Software is a digital product, purchases are refundable within 14 days of delivery provided the licence key has not been activated. Once a licence key has been activated, the purchase is non-refundable except as required by applicable law. Pre-order refunds are governed separately by Section 5c above.

5g. Third-Party Engine Components

The Desktop Software is built using Unreal Engine 5, licensed from Epic Games, Inc., and may include other third-party engine plugins and assets. Your use of these components is additionally subject to Epic Games' End User Licence Agreement and any other applicable third-party licence terms.

6. Tokens and Refunds (Web App)

Tokens are consumed when you initiate AI generation requests in the Web App. Approximate token costs per request:

Tokens are deducted only upon successful generation. If a request fails before media is returned no tokens are deducted. Consumed tokens are non-refundable.

Signup bonus tokens are complimentary and non-refundable. Monthly subscription tokens that go unused at the end of a billing cycle are forfeited; they do not roll over. Token pack balances are retained indefinitely regardless of subscription status.

Token pack refunds — we offer a prorated refund on unused tokens within 30 days of purchase. The refund amount is calculated as (unused tokens ÷ purchased tokens) × amount paid. Token packs are non-refundable after 30 days.

Subscription refunds — if you forgot your subscription was active, we will refund up to 3 months of charges measured from your last active date (the last date on which you consumed tokens), no questions asked. We do not refund the current billing period upon cancellation. To request a refund email [email protected] with your account email and the charge dates in question.

7. AI-Generated Content

The Web App uses third-party AI models — including Google Imagen, Google Veo 3.1 (Lite and Fast), LTX Video 2.3, and Fusion — to generate images and video in response to your text prompts and optional reference media. The Desktop Software includes an on-device generative AI pipeline (Stable Diffusion / SDXL-Turbo and ControlNets) that runs locally on your GPU. Together, this output is "Generated Content."

8. Creator Marketplace

The Web App includes a marketplace where users may publish AI-generated loops and visual clips ("Marketplace Content") for other users to license.

We reserve the right to suspend or terminate accounts, and to revoke Desktop Software licence keys, that violate this section at our sole discretion.

10. Intellectual Property

The MXR and MX 3D / MX PRO / MX XR interfaces, brand, logos, underlying code, the Desktop Software build, and the MXR Loop Library content are owned by Pull LLC and protected by applicable intellectual property laws. Certain underlying patents are licensed from MXR Holdings LLC. Nothing in these Terms transfers any of our IP rights to you.

User-uploaded media files remain your property. You represent that you have the rights necessary to upload and use any media within the Service.

11. Privacy and Device Permissions

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the data practices described therein. We do not sell your personal data to third parties.

Certain features of the Service (audio reactivity, webcam input, screen broadcast, and DMX/OSC show control) require access to your microphone, camera, display, and/or connected hardware. The Service will request the necessary browser or system permissions when you activate these features. You may revoke permissions at any time through your browser or system settings; doing so will disable the corresponding features.

12. Third-Party Services

The Web App integrates with third-party providers including Google Cloud AI (Imagen, Veo 3.1), LTX Video (LTX 2.3), Fusion AI, Stripe (payments), and Supabase (authentication and data storage). The Desktop Software is built on Unreal Engine 5 (Epic Games, Inc.) and relies on your local NVIDIA GPU for real-time rendering and on-device generative AI. Your use of these integrations is subject to the respective providers' terms of service and privacy policies. We are not responsible for the availability or accuracy of third-party services.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PULL LLC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) USD $50.

15. Indemnification

You agree to indemnify and hold harmless Pull LLC and its affiliates from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your use of the Service, or your Generated Content.

16. Termination

You may pause or delete your account at any time from the Account panel. Pausing stops billing while preserving your data; deletion is permanent and cannot be undone. We may suspend or terminate your account, and revoke any Desktop Software licence keys issued to you, immediately if you breach these Terms or if we are required to do so by law. Upon termination your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 5, 10, 13, 14, and 15) will do so.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, notify you by email or via an in-app notice. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
